Please read these Terms carefully before using the Website.
1. Acceptance of terms
By accessing or using the Website, you accept and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, you must stop using the Website.
2. Changes to terms
We may modify or update these Terms at any time without prior notice. Your continued use of the Website following any change constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
3. Eligibility
You must be at least 18 years old and able to enter into a binding contract to purchase from the Website.
4. Use of the Website
You may use the Website for lawful purposes only. You agree not to use the Website:
• in any way that violates applicable federal, state, local, or international law or regulation
• to engage in any fraudulent, abusive, or illegal activity
• to transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including
• junk mail, spam, or similar solicitations
• to scrape, copy, or systematically extract content, or to attempt to gain unauthorized access to any part of the Website or to another user's account
We may restrict or terminate your access to the Website at any time, including for violating these Terms.
5. Intellectual property rights
All content, materials, and services provided on the Website, including text, graphics, logos, videos, images, audio, book content, worksheets, templates, calculators, and downloadable files, are the intellectual property of Sunderland Valley Enterprises, LLC unless otherwise indicated.
When you purchase a book, digital product, or bonus resource, you receive a personal, non-transferable license to use it for your own business. You may not reproduce, distribute, resell, share access to, publish, or create derivative works from it without our express written permission. You may use worksheets and templates within your own business, including with your own bookkeeper or accountant, but you may not redistribute or resell them.
6. User-generated content
If you submit or post content to the Website, such as comments, suggestions, feedback, or other materials ("User Content"), you grant us a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, and create derivative works from that User Content in any form.
You are solely responsible for your User Content. By submitting it you represent and warrant that:
• you own or control all rights to the User Content
• it does not violate the rights of any third party, including intellectual property or privacy rights
• it does not contain offensive, defamatory, or illegal material
This section does not apply to confidential business information you provide as part of a purchased service. That information is handled as described in our Privacy Policy.
7. Purchases, pricing, and payment
Prices are shown in US dollars and are exclusive of any applicable taxes and shipping unless stated otherwise. We may change prices, products, and offers at any time.
At checkout you may be offered optional add-on products, either as a checkbox on the order form or as a single-click offer presented after your initial purchase. Where an offer is presented as a single-click purchase, clicking the button charges the payment method you have already provided, at the price shown on that page, without re-entering your card details. Declining an optional offer does not affect the order you have already placed.
By submitting an order you authorize us and our payment processor to charge your payment method for the total shown, including any optional items you accept. We may cancel or refuse an order if we suspect fraud, an error in pricing, or a breach of these Terms.
8. Delivery
Digital products. Digital books, audio, and downloadable resources are delivered by email or through a portal link, normally immediately after purchase. It is your responsibility to provide a working email address and to check your spam folder.
Physical products. Paperbacks are printed and shipped by our fulfillment partner. Estimated delivery times shown at checkout are estimates, not guarantees, and we are not responsible for carrier delays. You are responsible for providing a complete and accurate shipping address. Orders returned as undeliverable because of an incorrect address may require a further shipping charge to be resent.
Services. Where you purchase a plan, assessment, report, or call, we will deliver it within the timeframe stated on the offer page, provided you have supplied the information we need. If we do not receive your completed intake information, the delivery timeframe begins when we receive it.
9. Refunds and cancellations
[SECTION TO BE CONFIRMED. See notes. The wording here must match whatever appears on the sales page, the checkout page, and the payment processor account.]
10. Services and your responsibilities
Any plan, assessment, or report we prepare is based on the information you provide. You are responsible for the accuracy and completeness of that information. We do not audit, verify, or independently confirm the figures you give us, and our work product should not be relied upon as an audit, review, compilation, or attestation of any kind.
Purchasing a product or a one-off service does not create an ongoing professional engagement, and no engagement exists unless it is set out in a separate signed agreement.
11. No professional advice
The content on the Website and in our books, resources, and reports is provided for general educational and informational purposes. It is not accounting, tax, legal, investment, or other professional advice, and it is not tailored to your specific circumstances unless expressly stated in a separate signed engagement.
Nothing on the Website creates a certified public accountant relationship, an attorney-client relationship, a fiduciary relationship, or an investment advisory relationship. You should consult your own qualified accountant, tax adviser, attorney, or other professional before acting on anything you read here. You remain solely responsible for the decisions you make in your business.
12. Results
Results vary by business. Any example, case study, testimonial, or figure shown on the Website reflects a specific situation and is not a promise, guarantee, or projection of what you will achieve. Outcomes depend on factors outside our control, including your own implementation, your market, and your existing financial position.
13. Third-party links
The Website may contain links to third-party websites that we do not own or control. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party website. You acknowledge that we are not responsible or liable for any damage or loss caused by your use of any third-party website.
14. Privacy
Your use of the Website is also governed by our Privacy Policy, available at https://www.sunderlandvalleyenterprises.com/privacy-policy/. Please review it to understand how we collect, use, and safeguard the information you provide.
15. Electronic communications
By using the Website or purchasing from us, you consent to receive communications from us electronically, including by email. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing.
16. Disclaimer of warranties
The Website and all products and services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. We do not warrant that the Website will be error-free or uninterrupted, nor do we make any representation regarding the accuracy, reliability, or completeness of the content provided. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
17. Limitation of liability
To the fullest extent permitted by law, in no event shall Sunderland Valley Enterprises, LLC, its affiliates, partners, or employees be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Website or any product or service purchased through it. This includes damages for loss of profits, business interruption, or loss of data. Our total aggregate liability for any claim relating to a product or service shall not exceed the amount you paid us for that product or service. Your sole remedy for dissatisfaction with the Website is to stop using it.
18. Indemnification
You agree to indemnify, defend, and hold harmless Sunderland Valley Enterprises, LLC, its affiliates, and their respective officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Website, your violation of these Terms, or your violation of any third-party rights.
19. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of [STATE TO BE CONFIRMED], without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be instituted exclusively in the federal or state courts located in [COUNTY TO BE CONFIRMED]. You agree to submit to the jurisdiction of and venue in those courts.
20. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, the remaining provisions shall remain in full force and effect.
21. Contact information
Questions about these Terms can be sent to [email protected].
